  Terms & Conditions

1. General Terms


(a) These terms and conditions of sale supersede all previous policies and information
(b) These terms and conditions apply to all contracts of sale entered into by Techtron Electronics Pty Ltd. (Hereinafter called the “Seller”) and the customer (herein called the “buyer”), unless speciafically amended in writing by an authorised officer of the seller.
c) In the absence of a written order from buyer, seller’s record of the verbal order will constitute the basis of the agreement.
(d) Unless otherwise stated in writing by seller, terms of sale are FOB seller’s premises and goods are transported at buyer’s risk.
(e) These terms and conditions constitute the entire agreement between seller and buyer and supersede all other communications between the parties. (f) In the event of any inconsistency between these conditions and those printed on buyer’s purchase order, these conditions will prevail.
(g) This agreement shall be governed by laws


2. Prices and Tax


(a) Prices are published from time to time on price lists and are subject to variation without notice.
(b) Relevant taxes will be charged at the rate in effect at the date of invoice.
c) Where a price increase has occurred and goods are invoiced at a price higher than that shown on buyer’s purchase order or our internal order, acceptance by buyer of those goods constitutes an acceptance at the price charged. If, however, buyer elects not to accept the goods at the higher price, buyer should notify seller within 7 days of receipt of the goods of his intention to return the goods ar part quantity thereof. Buyer should not return any goods until the mode of transport has been agreed in writing by seller.


3. Delivery


(a) Delivery estimates are given in good faith and based on the best available information, but seller accepts no responsiblility and offers no indemnity in respect of any delay.
(b) Seller will effect delivery within the shortest possible time after receipt of buyer’s order. Failure to deliver immediately will not consitute no-performance.
c) Seller reserves the right to withhold delivery if buyer’s account is in arrears.
(d) Goods will be despatched either “Freight on” by a carrier nominated by buyer, or in the absence of any specific instructions seller will select to buyer an appropriate mode of transport and charge for packing & freight cost. This shipping charge is normally applied once only to each class of goods included in any order or scheduled delivery. Seller reserves the right at its discretion to part ship goods on an order and make appropriate shipping charge. The attention of the buyer is drawn to the fact that seller’s terms of sale are FOB is own premises. Selection of a mode of transport on behalf of buyer does not constitute a variation of those for terms, and the goods are at buyer’s risk during transist.
(e) Where quantities are ordered which constitute broken pack sizes, seller reserves the right to supply up to the next highest unbroken pack size.
(f) Seller shall have no liability in respect of any failure to deliver or perform; or of delay in delivery or performance of any obligations under a contract due to any cause whatsoever, outside the reasonable control of seller, including but not limited to cause arising out of acts or omissions of buyer.


4. Terms of payment


Standard terms are:
(a) New accounts nett cash
(b) 30 day credit accounts, subject to seller’s approval of buyer’s credit references.
c) Bookkeeping fee may applied per month of accounts exceeding agreed credit terms.
. Warranty
Royel products are warranted electrically sound for a period of twelve (12) months from the date of purchase to the orginal buyer, unless otherwise specified in writing. In respect of equipment supplied but not manufactured by the seller, buyer’s guarantee will be the terms of its supplier’s warranties , alternatively, a written variation of the warranty will be given as part of seller’s offer to the buyer.
All other equipments that are not manufactured or sold by Techtron Electronics, but have been repaired or serviced by Techtron Electronics Pty Ltd shall only be warranted for a period of three (3 ) months from the date of repair.
All warranty repairs or adjustments are on the basis of products being returned to factory FREIGHT PRE-PAID. Seller’s shall be limited solely to servicing modifying, replacing ar adjusting any product so returned. Misuse, tampering with or modifying any products VOIDS all warranty. Seller makes no implied warranty that its products will be fit for a particular purpose and there shall be no implied warranties which extend beyond the perspective descriptions contained in seller’s catalogues, drawings, sales quotation and/or invoices. Design improvements may alter the present illustration and/or description.


5. Spare parts policy


Many items of the equipment sold by seller are manufactured in other countries and because they are specialised machines they are operating only in small numbers in Australia. While it is seller’s intention to hold in stock an appropriate level of spare parts and replacements, there can be no guarantee that any particular part will be held in stock at any one time.
The buyer is therefore encouraged to include in his/her order the manufacturer’s list of recommendated spare parts to provide for immediate replacements.


6. Cancellation


(a) Cancellation will not be accepted where goods have been specially ordered, acquired or manufactured in accordance with buyer’s order.
(b) Cancellation or variation of the undelivered part of a scheduled order can only be accepted by an authorised officer of seller and then only on the basis that buyer will indemnify seller in respect of costs and/or losses consequently incurred. 8. Returns
(a) Goods found to be faulty or not in accordance with the manufacturer’s specfiction, should be held by the buyer and seller should be notified. If the goods are to be returned to seller, buyer will be notified in writing by the seller of the mode of transport.
(b) No returned goods will be accepted by seller, unless specific arrangements in writing have been made between buyer and an authorised officer of seller. If buyer decides to return goods supplied by seller which were in accordance with buyer’s purchase order or verbal instructions, and if such return is accepted by an authorised officer or seller, a restocking fee of twenty(20) percent will be charged with a minmum of ten (10) dollars.
c) Any return must be accompanied by seller’s return number and the invoice number.
